Terms of Service

1. Introduction

Welcome to Susubiribi Studios ("Company", "we", "our", "us"). These Terms of Service ("Terms", "Terms of Service") govern your use of our website located at susubiribistudios.com (the "Service") and any related services, including design, development, consultation, and other professional services (collectively, the "Services") operated by Susubiribi Studios.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Communications

By creating an account or submitting your contact information on our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send.

3. Service Engagement

For clients engaging our professional services (web design, development, UI/UX, consultation, etc.), the following additional terms apply:

3.1 Project Scope

All services will be outlined in a separate Statement of Work, Proposal, or Service Agreement that will detail the specific deliverables, timeline, and payment terms. Those documents, when executed, are incorporated by reference into these Terms.

3.2 Payment Terms

Unless otherwise agreed upon in writing, payment terms are as follows:

• 50% deposit required to begin work
• Remaining balance due upon project completion, prior to the transfer of deliverables or launch
• Additional services beyond the agreed scope will be billed separately
• Late payments (more than 14 days) may incur a 2% monthly late fee

3.3 Revisions and Changes

Our project agreements include a specified number of revisions or rounds of changes. Additional revisions or changes to project scope may result in additional charges and timeline adjustments.

3.4 Project Delays

If a project is delayed due to client's failure to provide required content, feedback, or approvals, Susubiribi Studios reserves the right to adjust timelines and, if necessary, implement a project pause fee if the delay extends beyond 30 days.

3.5 Project Cancellation

If a project is cancelled after work has begun, the client will be invoiced for all work completed up to the cancellation date, and the initial deposit is non-refundable.

4. Intellectual Property

4.1 Your Content

When you provide content to us for use in your project (such as text, images, logos, etc.), you retain ownership of that content. You grant us a license to use, reproduce, adapt, and publish the content solely for the purpose of providing our services to you.

You represent and warrant that you own all rights to the content you provide or that you have permission from the rightful owner to use the content, and that our use of your content will not infringe on any third party's intellectual property rights.

4.2 Our Intellectual Property

Unless otherwise agreed upon in a separate agreement, we retain ownership of all intellectual property rights in our designs, code, processes, and materials created during the course of providing services, with the following provisions:

• Upon full payment, we grant you a non-exclusive, non-transferable license to use the final deliverables for your business purposes
• We retain the right to display and link to your completed project as part of our portfolio
• We may reuse non-custom code, frameworks, and techniques

5. Content Guidelines

You agree not to provide content that:

• Is unlawful, harmful, threatening, abusive, defamatory, or invasive of privacy
• Constitutes or encourages conduct that would be considered a criminal offense
• Violates the intellectual property rights of others
• Contains software viruses or harmful code
• Contains advertising, promotions, or commercial solicitations without our prior consent

We reserve the right to refuse service if your content violates these guidelines or for any other reason at our discretion.

6. Limitation of Liability

In no event shall Susubiribi Studios, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use or alteration of your transmissions or content

Our total liability for all claims related to services shall be limited to the total amount paid by you to Susubiribi Studios for the applicable services, or $1,000, whichever is greater.

7. Disclaimer

Your use of the Service and our professional services is at your sole risk. The Service and services are provided on an "AS IS" and "AS AVAILABLE" basis. The Service and our deliverables are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Susubiribi Studios does not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The Service is free of viruses or other harmful components
• The results of using the Service or our services will meet your requirements

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
